DIGI begins trading on Spanish Stock Exchanges

DIGI Spain Telecom, S.A. (together with its subsidiaries, “DIGI Spain” or “the Company”), the Spanish subsidiary of the DIGI Group, a European telecommunications group headed by DIGI Communications N.V. (“DIGI NV”, a company listed on the Bucharest Stock Exchange), began trading today on the Barcelona, Bilbao, Madrid, and Valencia Stock Exchanges. Its shares are traded under the ticker “DIGIS” at an initial price of €5.60, giving the Company an initial market capitalization of approximately €1.662 billion.

With this debut, DIGI opens a new chapter for an industrial project that began in Spain in 2008 and has made the Company the fastest-growing operator in the country.

The offering, aimed at qualified investors, combined a capital increase of approximately €150 million in new shares, the proceeds of which (around €134 million net) will be used to accelerate the deployment of its own fibre and mobile network, with a sale of existing shares of DIGI Romania, S.A. for approximately €137 million. Following the transaction, the DIGI Group retains around 80% of the capital and maintains control of the Company. Furthermore, the offering could be increased to a maximum of €330 million should the stabilization agent exercise the over-allotment option granted to DIGI Romania.

The transaction was supported by Global Portfolio Investments, S.L., the investment company of the Domínguez de la Maza family (Mayoral Group), which invested €100 million as the lead institutional investor.

The debut has been celebrated today with the traditional ringing of the bell at the Madrid Stock Exchange Palace, with the participation of Marius Varzaru, CEO of DIGI Spain, and Serghei Bulgac, CEO of the DIGI Communications Group, and the attendance of members of the Company's Board of Directors, authorities, and representatives from the social and economic sectors.

“Today is a very important day for us. DIGI's listing on the Spanish stock market marks a milestone in our company's history and a boost to its growth, which today, thanks to the strength of our business model, enjoys the confidence of its investors. This model is based on sustained investment in our own infrastructure, technological innovation, operational efficiency, and a commitment to providing our clients with the best service at the best price.” Varzaru stated.

DIGI's stock market debut comes at a time of strong growth. The company has led net new fibre and mobile subscriptions for 17 consecutive quarters, and its revenues have now exceeded €1 billion on an annualized basis, after closing 2025 at €929 million. In the first quarter of 2026, revenues grew by 16.4% to €252.2 million, with an adjusted EBITDA of €50.6 million. Its proprietary fibre network reaches 14.2 million homes, with the goal of reaching approximately 21 million in the medium term. According to Ookla, it has been the fastest-growing network in Spain for five consecutive years, and the company directly employs 11,721 people.

“Listing on the Spanish stock exchanges is a significant milestone in the trajectory of this company, which has experienced years of organic growth in Spain. We are beginning a new chapter for DIGI Spain, the result of consolidating a business model that has proven to be solid and profitable, together with a team that has made transparency, approachability, and honesty our hallmarks.” Varzaru emphasized this point.

For DIGI Communications Group CEO Serghei Bulgac, “Spain is one of the fastest-growing markets within the Group, and DIGI Spain's listing on the Spanish stock exchanges reinforces the Group's commitment to this country, where we are an important part of its productive fabric.”

Barclays, UBS, and Banco Santander acted as global coordinators for the offering, along with BNP Paribas and Citi, and BBVA, CaixaBank, and ING; Rothschild & Co. is the Company's independent financial advisor.
